These Terms of Service (“Terms”) govern your use of this website and any services provided by Primesoft Systems (“we”, “us”, “our”). By engaging our services or paying an invoice, you agree to these Terms. If a signed proposal or statement of work conflicts with these Terms, the signed document applies for that project.
1. Our services
We provide digital marketing and software services, including website development, landing pages, local search engine optimization (SEO), Meta Ads management, automation and custom software. The scope, deliverables, timeline and price for each engagement are set out in a written proposal, quote or invoice.
2. Quotes, invoices and payment
- Prices are in US dollars and exclude any applicable taxes unless stated otherwise.
- Project work (such as a website build) is typically invoiced as a deposit before work begins, with the balance due on completion or at agreed milestones.
- Ongoing services (such as SEO or ads management) are billed monthly in advance.
- Payments are processed securely by Stripe or another payment processor we designate. By paying by card, you authorize us to charge the amount shown on the invoice, and for subscriptions, to charge the recurring amount until cancelled.
- Invoices are due on the date shown. We may pause work on accounts that are more than 14 days overdue.
3. Advertising spend
Advertising budgets are paid directly by you to the advertising platform (for example, Google or Meta) and are separate from our fees. We are not responsible for charges made by those platforms, and their own terms apply to your ad accounts.
4. Your responsibilities
- Provide accurate information, content, access and feedback in a timely way. Delays on your side may move timelines.
- Confirm that you have the rights to any content, images, logos or materials you supply.
- Make sure your business, products and advertising comply with applicable laws and platform policies.
5. Results
Marketing results depend on many factors outside our control, including competition, search engine and platform algorithms, budgets and market conditions. We do not guarantee specific rankings, traffic, leads or revenue. We do commit to doing the agreed work professionally and reporting on it honestly.
6. Ownership
Once your invoices for a project are paid in full, you own the final website design, content and code we created specifically for you, excluding third-party software, themes, plugins, fonts and stock assets, which remain subject to their own licenses. Ad accounts, analytics accounts and domains are set up in your name or transferred to you. We may show non-confidential work in our portfolio unless you ask us not to.
7. Cancellation
Cancellation terms for ongoing services, including any minimum term and notice period, are set out in your proposal or service agreement. Cancellation requests must be sent in writing to info@primesoftsystems.com. Project work can be cancelled in writing at any time; fees for work already completed remain payable. 8. Confidentiality
We keep your non-public business information confidential and use it only to provide our services.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses, including lost profits or data. Our total liability for any claim relating to our services is limited to the fees you paid us for the services giving rise to the claim in the three months before the claim arose.
10. Website use
The content on this website is for general information. You may not copy, scrape or misuse the website or attempt to interfere with its security or operation.
11. Governing law
These Terms are governed by the laws of the State of Texas. Any dispute will be handled in the courts located in Travis County, Texas, unless we agree otherwise in writing.
12. Changes
We may update these Terms from time to time. Changes apply from the “last updated” date above and do not affect invoices already paid.
